Terms of Service

We advise you to read the following terms of service before creating an account and/or using BLK TRADE (hereinafter referred to as “us”, “we, and “Company”) services. BLK Trade is operated by GENERAL PAYMENTS GATE LIMITED, a company incorporated in Canada and registered with FINTRAC with number M22457458. By entering our website creating an account and using our services you acknowledge and agree to these terms of service. In case you do not agree to these terms of service, do not access this website, and do not use our services.

By opening an account, you expressly agree to these Terms of Service, Privacy Policy, and  Cookie’s policy, and you represent and guarantee that you are at least 18 years old and have the full legal capacity and an appropriate business capacity to accept these Terms, Privacy Policy and Cookies Policy and enter a transaction that involves buying, selling, withdrawing, depositing virtual currencies, specified in Section “Description of services”. These Terms apply solely for the Services specified in these Terms and do not govern any other legal relations between user and BLK TRADE.

WARRANTIES, REPRESENTATIONS AND COVENANTS

It is a pre-condition that our Services are only provided to those who are permitted to enter in legally binding relationships. Therefore, if there is any reason why you are not able to enter into legally binding relationships with Us, for whatever reason – do not use our Services. You further represent and warrant that you:

  • have not previously been suspended or removed from our Services;
  • have full power and authority to enter into this legal relationship and by doing so will not violate any other legal relationships;
  • use our Technology Platform with your own e-mail and for your own benefit and do not act on behalf and/or to the interest of any other person;
  • guarantee that your crypto assets, which you transfer to the Technology Platform are not sold, encumbered, not in contention, or under seizure, and that neither exist any rights of third parties to your crypto assets;
  • will not use our Services or will immediately cease using those if you are a resident or become a resident at any time of the state or region (in accordance with such state or region definition of residency), where the crypto assets transactions you are going to execute are prohibited or require special approval, permit and/or authorization of any kind in this state or region.

Notwithstanding the above, you are not in any case allowed to access and use our Services if you are located, incorporated, or otherwise established, or a citizen or resident of:

A jurisdiction where the local Applicable Law prohibits or will prohibit you at any time (by reason of your nationality, domicile, citizenship, residence or otherwise) to access or use the Services or the Technology Platform (hereinafter, together “The Restricted Jurisdictions”).

BLK TRADE reserves the right to close any of your Accounts and/or force you to withdraw all the crypto assets from the Platform in case if:BLK Trade determines that you are accessing the Services or the Platform from any Restricted Jurisdiction, or you have given false representations as to your location of incorporation, establishment, citizenship, or place of residence.

For the purpose of this clause “Applicable Law” refers to all applicable laws of any governmental authority, including, without limitation, federal, state and foreign securities laws, tax laws, tariff and trade laws, ordinances, judgments, decrees, injunctions, writs and orders or like actions of any governmental authority and rules, regulations, orders, interpretations, licenses, and permits of any federal, regional, state, county, municipal or other governmental authority.

Rights and obligations of the parties

  • Conditions and Restrictions.We may, at any time and in our sole discretion, refuse any trade submitted via the Services, impose limits on the trade amount permitted via the Services or impose any other conditions or restrictions upon your use of the Services for funding your BLK TRADE Account or for trading without prior notice. For example, we may limit the number of open orders that you may establish via the Services or we may restrict trades from certain locations.
  • Accuracy of Information.You must provide any information required when creating a BLK TRADE Account or when prompted by any screen displayed within the Services. You represent and warrant that any information you provide via the Services is accurate and complete.
  • Once your order has been executed, you may not change, withdraw, or cancel your authorization to complete such transaction. If an order has been partially filled, you may cancel the unfilled remainder unless the order relates to a market trade. We reserve the right to refuse any cancellation request associated with a market order once you have submitted such order. In contrast to exchange orders, all trades are irreversible once initiated.
  • Insufficient Funds.If you have an insufficient amount of Funds in your BLK Trade Account to complete an order via the Services, we may cancel the entire order. 
  • It is your responsibility to determine what, if any, taxes apply to the trades you complete via the Services, and it is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that BLK TRADE is not responsible for determining whether taxes apply to your trades or for collecting, reporting, withholding, or remitting any taxes arising from any trades.
  • The client has the right to have access to all System Services in accordance with their status and established restrictions;
  • The client has the right open the Wallet in the BLK-Trade System,
  • The client has the right to receive technical and informational support.

Please refer to our Privacy Policy for information about how we collect, use and share your information.

Know your Customer (KYC) and Anti Money Laundering (AML)

BLK Trade has the right to know the real transaction background and purpose of the users who use our product or our service. Users should always provide the real, comprehensive, accurate information required by BLK TRADE and its procedure; if BLK TRADE has reasonable grounds to suspect that the user has provided false trading information or identity information, is entitled to restrict the user from the use of the exchange for some or all products and services functions temporarily or permanently. Each user is allowed to create and use one account only. If a user will try to open multiple accounts, BLK TRADE shall have the discretion to not verify it and block it. BLK TRADE has a strict obligation to assess all the transactions from the anti-money laundering and counter-terrorist financing regulations and report the suspicious transactions to the applicable regulator.  

 

Risk Disclosure

Trading risks

You acknowledge and agree that you shall access and use the Services at your own risk. The risk of loss in trading Digital Asset pairs and Digital Asset and Legal Tender pairs can be substantial. You should, therefore, carefully consider whether such trading is suitable for you considering your circumstances and financial resources. You should be aware of the following points:

You may sustain a total loss of the Funds in your BLK TRADE Account, and, in some cases, you may incur losses beyond such Funds.

Under certain market conditions, you may find it difficult or impossible to liquidate a position. This can occur, for example, when the market reaches a daily price fluctuation limit or there is insufficient liquidity in the market.

Placing contingent orders, such as “stop-loss” or “stop-limit” orders, will not necessarily limit your losses to the intended amounts, since market conditions may make it impossible to execute such orders.

Internet transmission risks

You acknowledge that there are risks associated with utilizing an Internet-based trading system including, but not limited to, the failure of hardware, software, and Internet connections. You acknowledge that BLK TRADE shall not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when trading via the Services, however caused.

FEES

Amount of Fees. You agree to pay the fees for Transfers completed via Platform (“Fees”) as defined in the Fees section, which we may change from time to time. Changes to the Fees are effective as of the effective date indicated in the posting of the revised Fees and Limits and will apply prospectively to any Transfers that take place following the effective date of such revised Fees.

MISCELLANEOUS

These Terms, including Privacy Policy and Cookie Policy, govern the legal relationship between you and BLK TRADE regarding the use of our website. In the event that one of the parties does not exercise its right under these Terms, such conduct of the client or user shall not be considered as a waiver of the right or as a waiver of other rights. BLK TRADE shall not be liable for failure to fulfill its obligations under these Terms, if such failure is the result of any reason beyond the reasonable control of BLK TRADE, which includes, inter alia, force majeure, hacker attacks, mechanical, electoral and communication impairments or deterioration.

If any provision of the Terms turns out to be unenforceable or invalid, then that provision shall be limited or eliminated to the minimum extent necessary for the Terms to remain in force.

BLK TRADE may transfer or assign to third party rights and obligations under the Terms, without your consent. In such case BLK TRADE shall inform you about the transfer by email or other communication channels. Terms shall come into effect from the moment you accept the terms by entering BLK TRADE website / platform, and expire when you stop using it or when these Terms expire.

AMENDMENT OF THESE TERMS

BLK TRADE reserves the right to change and update these Terms of Service within the Website at any time. We will inform users of the changes. It is your responsibility to familiarize yourself with any possible changes. The date of the last Terms is in the document. If these Terms become unacceptable to you or you do not agree to the Terms after modifying them, do not use this site anymore and delete your user account. By using the Website and trading on the exchange, you agree to the Terms of Service as modified.

JURISDICTION AND APPLICABLE LAW

This Terms of Service shall be governed by and interpreted in accordance with the law of the Canada.
